1. Acceptance of These Terms

These Terms of Use (the "Terms") govern your access to and use of manhattanmiami.com (the "Site"), which is operated by Manhattan Miami Real Estate LLC ("Manhattan Miami," "we," "us," or "our"), a licensed real estate broker in New York and Florida. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

2. Informational Purposes; No Brokerage Relationship

The Site and its content are provided for general informational purposes only. Nothing on the Site constitutes an offer to sell or a solicitation of an offer to buy any property. Your use of the Site does not create an agency, brokerage, fiduciary, or advisory relationship between you and Manhattan Miami. A brokerage relationship is formed only through a separate written agreement or as otherwise provided by applicable law.

3. Listing Information and Data Accuracy

All information furnished regarding properties for sale, rental, or financing is from sources deemed reliable, but no warranty or representation is made as to the accuracy thereof and same is submitted subject to errors, omissions, change of price, rental, or other conditions, prior sale or withdrawal without notice. Listings displayed on the Site are provided courtesy of the REBNY Residential Listing Service (RLS) and the Miami MLS. Listing data, pricing, availability, square footage, taxes, common charges, and similar figures must be independently verified before any transaction decision.

4. No Legal, Tax, or Investment Advice

Content on the Site, including market analyses, guides, and calculators, does not constitute legal, tax, accounting, or investment advice. You should consult your own attorney, accountant, and other professional advisors before entering into any real estate transaction.

5. Intellectual Property

The Site and its original content, including text, graphics, photographs, market reports, logos, and design, are the property of Manhattan Miami or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Listing content supplied through the REBNY RLS and the Miami MLS remains the property of its respective owners. You may view, download, and print pages from the Site for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Site content without our prior written consent. Listing data is provided for consumers' personal, non-commercial use and may not be used for any purpose other than to identify prospective properties consumers may be interested in purchasing.

6. Acceptable Use

You agree not to: (a) use the Site for any unlawful purpose; (b) scrape, harvest, or systematically extract data or content from the Site by automated means; any such extraction of listing data is strictly prohibited; (c) interfere with or disrupt the operation or security of the Site; (d) misrepresent your identity or affiliation; (e) use the Site to transmit spam, malware, or other harmful material; or (f) frame or mirror any part of the Site without our prior written consent.

7. Third Party Content and Links

The Site displays listing data feeds, maps, video players, scheduling tools, messaging tools, and other content and services supplied by third parties, and contains links to third party websites. We do not control and are not responsible for the content, accuracy, availability, or privacy practices of third party services or websites. Your use of them is at your own risk and subject to their own terms.

8. Fair Housing

Manhattan Miami complies with all applicable federal, state, and local fair housing laws. Our fair housing notice is posted at manhattanmiami.com/fair-housing-notice and our standard operating procedures for prospective homebuyers are posted at manhattanmiami.com/standard-operating-procedures.

9. Privacy

Our collection and use of personal information through the Site is described in our Privacy Policy.

10. Disclaimer of Warranties

The Site and all content are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or availability. We do not warrant that the Site will be uninterrupted, secure, or error free.

11. Limitation of Liability

To the fullest extent permitted by law, Manhattan Miami and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of or inability to use the Site or its content, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability for any claims arising out of or relating to the Site or these Terms is limited to the greater of one hundred United States dollars ($100) or the amount you paid us, if any, to use the Site. Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you. Nothing in these Terms limits any liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Manhattan Miami and its members, officers, employees, and agents from any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your violation of these Terms or your misuse of the Site.

13. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts; provided, however, that disputes relating exclusively to properties located in Florida may be brought in the state or federal courts located in Miami-Dade County, Florida.

14. Changes to These Terms

We may revise these Terms from time to time. The current version, with its effective date, will be posted on this page. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
